Terms of Service

These terms cover your use of the Scalebase Studio website and the general conditions of working with us. Individual projects are governed by a signed proposal or statement of work, which takes priority where the two differ.

01

The agreement

By using this website or engaging us for work, you agree to these terms. If you are agreeing on behalf of a company, you confirm you have authority to bind it.

Where you have signed a proposal, statement of work, or retainer agreement with us, that document controls scope, price, and timing. These terms fill in everything it does not cover.

02

Information on this website

Plan prices, features, delivery estimates, and case study results on this site are a guide to how we work. They are not an offer. Your price and scope are only fixed once they are written into a proposal you have accepted.

Free consults and free audits of existing sites carry no obligation to engage us.

03

Our services

We provide web design, web development, website maintenance, and SEO, sold as Website plans (Starter, Growth, Scale), E-commerce plans (Shop Starter, Shop Growth, Shop Scale), add-ons, and monthly retainers. We also offer services for existing sites (Maintenance, Maintenance + SEO, Messaging & Copy Optimization, and Redesign) and custom engagements for work outside the standard plans, each quoted as a fixed project price. What we deliver is defined in your proposal: pages or products, revision rounds, integrations, support window, and timeline are all listed there.

We build on the platform that fits your project, such as WordPress, Webflow, Wix, Shopify, or a custom build. We recommend one after the consult, and you make the final choice.

Anything not listed is out of scope. We are happy to add it. It is quoted in writing before it costs you anything, and becomes a change order with its own price and effect on the schedule.

04

Your responsibilities

  • Complete the intake questionnaire and provide content, brand assets, and account access in the formats and by the dates agreed
  • Give consolidated feedback within five business days of each review milestone
  • Name one person with authority to approve work
  • Ensure you own or are licensed to use everything you send us, and that the source material we write copy from is accurate
  • Keep your own copies of content you provide

Projects run on momentum. If we are waiting on you for more than 15 business days, we may pause the project and reschedule it into the next available slot; if the pause runs past 30 days we may invoice work completed to date.

05

Fees and payment

  • Projects are quoted as one fixed price, in Philippine pesos unless your proposal says otherwise
  • Project work: 50% deposit to book the slot, balance due on delivery, before launch
  • Revision rounds included in your plan never cost extra
  • Retainers: billed monthly in advance, with no annual contract
  • Invoices are due within 14 days unless your proposal says otherwise
  • Late invoices accrue 1.5% interest per month; we may suspend work on accounts over 30 days late

Deposits are non-refundable once work has started, since they reserve capacity we have turned other work away for. Prices exclude any applicable taxes, which are added where required.

Third-party costs such as domains, hosting, premium themes, plugins, apps, and payment gateway fees are paid by you directly to the provider, in your name.

06

Timelines

Delivery estimates in a proposal, from 3 to 12 weeks depending on plan, assume content and feedback arrive on the agreed dates. We will tell you promptly if something shifts, and we expect the same. Neither of us is liable for delays caused by the other party or by events outside reasonable control.

07

Accounts and ownership

Your domain, hosting, platform, analytics, and other accounts are set up in your name from day one. We work in them with access you grant, and you can revoke it at any time.

On final payment, you own the deliverables we built for you: the design, the code, and the copy we wrote under the engagement.

We keep ownership of anything we bring to the project: our internal tooling, component libraries, and frameworks. You get a perpetual, non-exclusive license to use those as embedded in your deliverables.

Third-party assets (themes, fonts, stock imagery, plugins, apps) are licensed to you under their own terms; we will tell you which ones apply and what they cost.

Unless you ask us not to, we may show the finished work in our portfolio and case studies.

08

Support, maintenance, and retainers

Every plan includes a post-launch support window: 15, 30, or 60 days depending on tier. During it we fix defects in our work at no charge and provide the maintenance listed in your plan. Growth and Scale tiers also include SEO execution for the same window.

  • Maintenance covers security patches and updates, backups, uptime and performance monitoring, malware and vulnerability scanning, broken link and form checks, and content update requests
  • A content update request is one message thread covering one page or topic. New pages, new sections, and design changes are quoted separately
  • Each plan includes a monthly number of requests (5, 10, or 15 by tier), which can be increased with an add-on
  • We respond within one to two business days, or within 24 hours on Scale tiers

When the support window ends, security patches, backups, and monitoring stop unless a retainer is active.

After the window, maintenance and SEO continue on an optional monthly retainer. Retainers can be paused between engagements or cancelled with 30 days notice. We may take on maintenance or SEO for a site we did not build after a free audit, and will tell you before you pay if the build makes that unsafe.

Support does not cover changes made by you or a third party, outages or changes at third-party platforms, or new features.

09

SEO results

Search rankings depend on factors outside anyone's control, including search engine changes and competitor activity. We do not guarantee rankings, traffic, or revenue. We do guarantee the work in your plan, the reporting, and a clear account of what moved and what did not.

We do not buy links or use practices that breach search engine guidelines, and we will decline requests to.

10

Third-party platforms

Your site relies on services we do not control: the site platform, hosting, payment gateways, CRM and email platforms, booking tools, and Google services. Their own terms, fees, and availability apply, and we are not liable for their outages or changes. We will help you work around them where we can.

11

Acceptable use

You agree not to use this website or anything we build for you to break the law, infringe someone else's rights, distribute malware, send unsolicited bulk email, or attempt to disrupt or gain unauthorized access to our systems. We may decline or end work that would require us to do any of the above.

12

Liability

To the maximum extent the law allows, neither party is liable for indirect, incidental, or consequential losses, including lost profits, revenue, or data. Our total liability for any claim is capped at the fees you paid us for the engagement giving rise to it in the preceding 12 months.

Nothing here limits liability for fraud, death or personal injury caused by negligence, or anything else that cannot be limited by law.

13

Termination

Either of us may end a project with 14 days written notice. If you terminate, you pay for work completed up to that date and we hand over what has been paid for. If we terminate without cause, we refund any prepaid amounts for work not yet done.

We may terminate immediately for non-payment, or for a material breach that is not fixed within 14 days of notice. When any engagement ends, your accounts stay with you and we remove our access.

14

Governing law

These terms are governed by the laws of the Republic of the Philippines, and the courts of Makati City have exclusive jurisdiction, unless a mandatory consumer law in your home country says otherwise. We will always try to resolve a dispute by talking first.

15

Changes to these terms

We may update these terms; the date at the top of the page shows when. Changes apply to new engagements and to continued use of the website. Signed proposals are not changed retroactively.
